A securities-lending program changes the relationship around shares a customer already owns. FINRA Rule 4330 sets requirements for members borrowing customers’ fully paid or excess margin securities. Its disclosure requirements direct attention to the loan arrangement, collateral and rights affected by the lending transaction, rather than only the advertised lending income. A loan receivable and an ordinary holding are different records

WFN analysis: imagine 100 invented share units temporarily delivered under a lending agreement. A record of the obligation to return those units answers a different question from a record showing the shares simply held in the original account. The agreement and custody records are needed to identify how the borrower’s obligation is supported. Suppose the initial shares and collateral are each valued at 5,000 currency units in a hypothetical snapshot. Equal starting values do not establish that they will remain equal, how collateral is revalued or who can access it after a failure. An evaluation therefore needs the valuation frequency, eligible collateral, custody arrangement and return or close-out provisions. The ownership-related effects also require attention. A customer interested in voting at a particular meeting needs to understand the program’s rules and timing, rather than assume that lending income leaves all participation rights unchanged. This article does not determine the rights attached to a named customer’s position or describe a specific provider’s handling of a corporate event.

The required risk disclosure is more specific than a yield figure

Before the first such borrow, the rule requires written disclosures, including a prominent warning that Securities Investor Protection Act provisions may not protect the securities-loan transaction. The warning says collateral may constitute the only source of satisfaction if the member fails to return the securities. FINRA Rule 4330: Customer Protection — Permissible Use of Customers’ Securities

The rule also calls for disclosure of matters including loss of voting rights, relevant fees and compensation, and risks associated with the types of collateral provided. The published framework is for FINRA members and the defined securities borrowing. It is not a general statement that every investment platform operates under identical requirements. Review the full agreement behind the income offer

A useful comparison records the borrower, the securities being lent, collateral type, valuation practice, custody, compensation calculation, charges and termination terms. Retain the actual disclosures and their date alongside any advertised rate. Income assumptions should account for the amount and duration actually lent, rather than automatically treating an advertised figure as a constant return on the entire portfolio.

The rule’s warning is deliberately conditional: protection may not apply to the loan transaction, and collateral may be the remaining satisfaction source. An account review should preserve that wording’s scope instead of claiming either complete insurance or universal absence of protection. This explainer reports the disclosure framework and provides no current lending yield, protection determination or finding about any individual firm.
