Germany's binary-options restriction is broader than a question about completing a trade. BaFin's published national order addresses marketing, distribution and sale to retail clients. The measure belongs to the permanent national framework introduced in 2019. National intervention is different from a firm's general authorisation

ESMA's accompanying release explains the coordination process: national authorities act under Article 42 of MiFIR, while ESMA assesses whether the measure is justified and proportionate under Article 43. A product-intervention decision therefore addresses a specific product risk. It should not be confused with approval of an individual provider or an investment recommendation. ESMA: coordination of national product-intervention measures The German opinion also notes a drafting difference concerning certain products whose lower payout preserves the customer's total payment. BaFin considered those products outside its measure's scope, rather than expressly reproducing that exclusion in the national order. This detail is a reason to consult the actual German framework instead of substituting a generic European summary. ESMA35-43-1952: opinion on Germany's binary-options measure WFN analysis: a provider claiming that its general regulatory status permits every binary product has left out a separate question. Product scope, retail distribution and the documentation supporting an exception each need their own evidence. A licence number cannot substitute for the contract's terms.

The operative order defines the product and the exception

BaFin describes cash-settled derivatives paying only at close-out or expiry, with predetermined fixed-or-zero payments depending on specified conditions. Its express exception requires a term of at least 90 calendar days, a publicly available approved prospectus, and an arrangement avoiding provider market risk and trading profit or loss beyond disclosed charges. The conditions operate together; duration alone is insufficient. BaFin: binary-options product-intervention order, English information translation

ESMA's June 24, 2019 opinion describes the intended measure as a permanent retail prohibition in or from Germany. It contrasts that national action with ESMA's earlier temporary interventions. This is historical evidence about the framework's establishment, rather than a new prohibition announced in 2026. ESMA35-43-1952: opinion on Germany's binary-options measure

The controlling text and present offer need to be matched

BaFin labels its English translation as informational and states that the original German text is binding. Where wording determines the result, the translation should guide reading of the source rather than be represented as the controlling legal instrument. For a specific offer, identify the contracting entity, the client's classification, the payout terms and the jurisdiction of distribution. Then compare the product with the operative order and any subsequent formal changes. An advertised 90-day term or a brochure using the word 'prospectus' does not, by itself, demonstrate that the cumulative exception applies.
